Role Purpose:
*
To provide the leadership, direction and coordination of activities for the Legal Operations Division. Take the day-to-day operational decisions, ensuring the Division achieves its results and that it fully contributes to the delivery of the Legal Department goals.
To provide expert legal advice on all legal operational and financial matters to support decision making of Senior Management and to ensure the compliance of IDB to all applicable governing statutes and regulations.
Key Accountabilities and Activities:
Strategy implementation and operational management
* Participate in the development of the Legal Department strategy, budget and business planning processes
* Create and implement actionable Legal Operations Division short to medium term operational plans and budgets with operational KPIs linked to the Legal Department strategy
* Coordinate the Legal Operations Division's activities so that it effectively utilises its resources, manages its priorities, and is able to be both responsive and proactive
* Manage, monitor and evaluate the Legal Operations Division's ongoing performance and quality of its outputs and services, identifying and initiating actions for improvement and innovation
Provision of expert legal advice
* Provide advice on Operational legal issues effecting IDB to support the decision making of the Legal Department Director and Senior Management
* Apply specialised expertise regarding international Member Country law and policy issues to support the functioning of IDB Group operations
* Develop legal policy recommendations including financing guidance and agreements and payment obligations to strengthen IDB's institutional legal framework and policy and that meet the legislative framework within Member Countries
Contract / agreement drafting
* Advise IDB entities on financing negotiation and structuring options, to ensure IDB's financing and investment operations are mutually satisfactory to all stakeholders and conform to local and international standards
* Oversee development and implementation of IDB Group's financing agreements to ensure consistency with IDB Group's development mandate and strategy
* Undertake complex appraisals and negotiations of all agreements as required
* Draft, amend and negotiate financing, equity participation, grant and other financing and co-financing agreements
Specific operational support
* Apply knowledge of complex national and international law to support the operational and financial activities of the IDB Group including:
* Corporate/country law to support equity investments
* Property and bankruptcy law for leasing and instalment sales operations
* Commercial law for leasing and instalment sales operations
* Dealing with the private sector
* Advise operational departments on legal issues relating to compliance by the Group, its member countries and other institutions with legal agreements including:
* Default in payment obligations
* Ongoing and potential suspension of disbursements and other sanctions
* Ongoing and potential litigation
Technical assistance
* Support the development of the legal framework and environment for Member Countries globally
* Collaborate with the operations departments and partner institutions, to provide technical assistance to member countries in developing and enhancing their institutional legal framework and capacity, consistent with the Group's development mandate and strategy
