Key responsibilities
• Provide expert advice on amendments in existing articles of association of the group to ensure compliance with Companies Law, Saudi Arabia
• Provide internal legal advisory services on legal matters related to registration of new companies or liquidations, mergers, acquisitions, articles of association…etc., to ensure that the corporate activities are in line with the applicable laws
• Advising the board on corporate governance principles and the implementation of governance programs and risk management frameworks.
• Developing, implementing, communicating and maintaining governance, risk and compliance policies, processes and procedures.
• Analyzing legal issues relating to proposed businesses
• Reviewing and guiding Board on existing group structures and propose new group structures in line with companies law requirements
• Guiding Board on regulatory and compliance matters
• Providing supervision to outside lawyers hired to assist the corporation with their specialized legal services
• Develop and maintain an effective working relationships with the Executive, senior managers and external stakeholders.
• Review and advice on all new contracts, agreements between the Company and third parties to ensure that the company’s interest is protected and the best commercial position maintained.
• Interpretation of Companies law, acts and other legislation as required.
• Perform other duties as assigned by the management.
